Commercial contracts
Distributorship agreement
Our client entered into a distributorship agreement with a UK based supplier who had invented a device to reduce energy levels in refrigeration processes. Our client wanted an exclusive distribution agreement with the supplier to market the product in Portugal, his allocated territory, selling principally to hotels and restaurants.
Franchise agreement
We recently negotiated the purchase of a national children’s music and dance franchise from a seller and negotiated the franchise process with the franchisee.
Master framework, introducer and reseller agreements
Prior Law’s client is a UK plc listed on AIM and we were instructed to produce templates of these agreements in connection with our client’s VOIP business for use by our client on an international basis.
Terms and conditions of business
Our client runs an internet business selling children’s imagery and artwork in a number of jurisdictions. We drafted terms and conditions of business for the client, together with an agency agreement and contracts for the artists with a strong emphasis on the intellectual property rights (IPRs).
